Job Description

Key Responsibilities

A. Contract Management & Legal Compliance

- Draft, review, and provide legal advice on commercial agreements, including service agreements, supplier contracts, sales and purchase agreements, construction contracts, outsourcing agreements, agency agreements, manufacturing agreements, etc.

- Analyze and assess legal risks in commercial transactions and propose appropriate risk-control measures for the company.

- Ensure that all contracts and transactions comply with Vietnamese laws and the company’s internal risk control policies.

B. Corporate & Investment Legal Affairs

- Provide legal advice related to corporate operations and investment projects both domestically and internationally.

- Handle and manage corporate legal procedures, including Investment Registration Certificate (IRC), Enterprise Registration Certificate (ERC), business line amendments, capital adjustments, and other corporate changes.

- Provide legal advisory and support procedures for establishing overseas companies/branches (e.g., Thailand, Indonesia, Philippines).

- Prepare and manage legal documentation for international investment projects.

C. Internal Legal Advisory & Dispute Handling

- Provide legal advice to internal departments such as HR, Finance, Procurement, Sales, R&D, and - Production to ensure business operations comply with applicable laws.

- Participate in or coordinate the handling of internal disputes, commercial disputes, and other legal issues arising from business activities.

- Draft, review, and update internal policies, procedures, and legal templates for the company.

Requirements

- Bachelor’s degree in Law; candidates holding a certificate from the Judicial Academy are preferred.

- 5–8 years of experience in corporate legal affairs or at law firms / legal consulting firms.

- Proven experience in providing legal advice for business operations and reviewing commercial contracts.
